# The Sustainable Reset - Client Agreement
Welcome!
We are excited and thrilled to welcome you to The Sustainable Reset and celebrate your decision to invest in your wellness.
This agreement outlines the shared understanding between us, as client and coach, to support a working relationship that honors autonomy, safety, and sustainable transformation. It reflects the ethos and operating principles of Mindful Passions International LLC ("Coach", "MPI", or "I/me") and the empowered, self-directed nature of your journey ("Client" or "you").
## **1. Program Overview**
Coach agrees to provide MPI's **The Sustainable Reset** program of wellness coaching services to the client, subject to the terms and conditions of this agreement.
Coach agrees to devote as much time, attention, and energy as necessary to achieve the following (collectively, "Program", or "coaching"):
- **Two “Reset Check-In” prompts (Healthie, voice note or text):** Client will receive two intake prompts in Healthie and will respond by voice note or text, covering (1) what feels hardest right now and the non‑negotiable commitments for the next 14 days, and (2) what a sustainable reset would look like and 2–3 signs the reset is working.
- **Sustainable Reset Roadmap (14 days) delivered within 48 business hours:** Coach will deliver a written 14-day roadmap within 48 business hours after receiving Client’s completed intake responses, outlining recommended focus areas, pacing guidance, and suggested actions for the 14-day period.
- **Day 7 async check-in (Coach initiates on Day 6; Client responds on Day 7):** Coach will initiate the Day 7 check-in by sending a message via Healthie on Day 6; Client is expected to reply on Day 7 with a brief status update, after which Coach will respond with written feedback, adjustments, or support within the Coach’s stated business-day response window.
- **Day 14 async check-in (Coach initiates on Day 13; Client responds on Day 14):** Coach will initiate the Day 14 check-in by sending a message via Healthie on Day 13; Client is expected to reply on Day 14 with a brief final status update, after which Coach will respond with written feedback and next-step recommendations within the Coach’s stated business-day response window.
- **Asynchronous messaging access (Healthie):** Client may message Coach via Healthie during the program window. Coach will provide a substantial response to messages within **2 business days**, consistent with Coach’s business-day operational schedule.
- **30-day program window (read-only at end of term):** Program access and Coach responsiveness are limited to a **30-day** period starting on the program start date. At the end of the 30-day period, the program space/messaging will become **read-only**. Any messages or check-ins not responded to by Client within the 30-day program window will not receive a Coach response after the program window ends.
The Program is tailored to meet your unique needs and will be customized based on our initial consultation and ongoing feedback. As your coach, I am committed to supporting you every step of the way and providing the tools and resources you need to succeed.
## **2. Mutual Commitments**
As your Coach, I commit to:
- Creating a trauma-aware, inclusive, and consent-based coaching space
- Providing guidance, tools, and reflections rooted in science-informed and intuitive frameworks
- Honoring your lived experience and processing style without pathologizing or forcing outcomes
As the Client, you commit to:
- Engaging to the extent your capacity allows, with honesty about shifting needs
- Respecting the time, access, and scope boundaries of this container
- Communicating any questions, feedback, or access requests directly and promptly
## **3. Scheduling and Access**
Coaching sessions are scheduled via Healthie. You may communicate between sessions through Healthie messaging, with expected response times shared in the Program Overview above.
Please provide at least 24 hours' notice if you need to reschedule. You can reschedule up to two sessions per program. Missed appointments beyond this will not be refunded, but can be discussed contextually.
## **4. Payment, Refunds, and Chargeback Policy**
### 4.1. Program Investment and Client Status
You agree to the pricing and payment plan selected at enrollment. Payment is due upon enrollment unless otherwise specified.
Your specific investment for the **Enough: A 13-Week Burnout Recovery Program** package in United States Dollars (USD) is determined by your enrollment status:

### 4.2. Payment Terms and Schedule
The **First Installment** (if a payment plan is selected) or the **Full Payment** is due upon enrollment in the Program. Subsequent monthly payments in the same amount will be due in 1-month increments from the date of the first payment until the total investment is paid.
### 4.3. Financial Responsibility
1. **Individual Enrollment:** The Client is solely responsible for the timely payment of the Program Investment regardless of their participation level in the Program.
2. **Private Group Enrollment:** If the Client enrolled in the Private Group option, the designated **Primary Contact Client** is solely responsible for ensuring the agreed-upon payments for the entire group package are made on time, regardless of the participation or withdrawal of other group members.
### 4.4. Refund and Chargeback Policy
Due to the energetic, emotional, and temporal investment required for this work, **all payments are non-refundable**. Please reach out if you experience a significant life event that alters your participation ability. MPI may co-create a pause or transfer plan within container limits in such cases, at MPI's sole discretion.
You agree not to initiate a chargeback or dispute through your payment provider without first contacting MPI to resolve any issues in good faith. Unauthorized chargebacks may result in **immediate suspension** from the Program. If a chargeback is initiated, all access to services, materials, and platforms will be revoked pending resolution. Reinstatement may be considered only upon full repayment of the disputed amount and a mutual written agreement between the Client and MPI.
## **5. Scope and Boundaries**
This coaching relationship is not a substitute for therapy, legal, medical, or financial services. I do not diagnose or treat health conditions. You agree to consult your licensed providers as needed.
You maintain sovereignty over your choices, actions, and interpretations. I offer support, not directives. All suggestions are invitations, not requirements.
MPI reserves the right to terminate this agreement immediately and without refund if a client engages in harassment, coercion, defamation, breach of confidentiality, or other behavior deemed harmful to the coach, other clients, or the integrity of the container.
## **6. Confidentiality and Privacy**
Everything you share in session is held in confidence. Exceptions include: legal obligations (e.g., imminent harm or court order), express written permission by you, or operational needs shared with team members under strict confidentiality agreements.
As an ordained clergy member operating in Washington State, I am also a mandated reporter. This means I am legally required to report any known or suspected abuse or neglect of children or vulnerable adults. Failure to do so may result in criminal or civil liability. If such concerns arise, I will make every effort to communicate transparently with you about my obligations and next steps, within the bounds of legal requirements.
## **7. Termination and Exit**
You or I may choose to end this agreement early. Please provide 7 days' notice. Upon termination, you will forfeit access to all live coaching, asynchronous communication, and any downloadable materials not yet delivered, unless otherwise agreed in writing. Termination does not waive your responsibility for any outstanding payments owed under this Agreement. If you have selected a payment plan, all remaining payments remain due per the original schedule unless waived by mutual agreement in writing.
The following sections of this Agreement shall survive termination: Payment, Refunds, and Chargeback Policy; Scope and Boundaries; Confidentiality and Privacy; Consent for Media Use; Intellectual Property Rights; Legal and Dispute Resolution; Force Majeure; Non-Disparagement & Communication Ethics; and Entire Agreement. These provisions remain binding and enforceable beyond the duration of service delivery.
## **8. Intellectual Property Rights**
All intellectual property shared with you in this program, including frameworks, tools, documents, recordings, and all other content, shall remain the sole property of Mindful Passions International LLC or its respective licensors. Some content is provided under license from third-party rights holders, including but not limited to the National Council for Behavioral Health, Primal Health Coach Institute, and Healer.com. You receive a limited, non-transferable license for personal, non-commercial use only. You may not copy, share, distribute, reproduce, modify, or use any content in a way that generates income, either directly or indirectly, or in any form of public dissemination (including free sharing) without express written permission from MPI or the original rights holder, as applicable.
You retain all rights to the original work you generate during the program. MPI will not claim ownership of your intellectual property.
## **9. Legal and Dispute Resolution**
This agreement is governed by the laws of the state of Washington, where Mindful Passions International LLC operates. In rare unresolved disputes, we agree to pursue resolution through restorative dialogue or binding arbitration. Arbitration shall default to King County, Washington, United States if mutual agreement on location and method cannot be reached. The prevailing party in any arbitration shall be entitled to recover reasonable attorney's fees and costs.
## **10. Force Majeure**
If any cause beyond my reasonable control, including, without limitations, "acts of God"/nature, war, curtailment or interruption of transportation facilities, threats or acts of terrorism, State Department travel advisories, labor strikes or civil disturbances, unforeseen or foreseen human-initiated circumstances, health or travel restrictions, quarantines, lockdowns or precautions imposed by any government entity or agency, local, state or federal law or ordinance, or other instances, make it inadvisable, illegal, or impossible for me to perform my responsibilities or obligations under this Agreement, either because of unreasonable increased costs or the risk of injury, I will not be liable for a reasonable period of delay or for the inability to indefinitely fulfill my responsibilities and obligations.
While I make reasonable efforts to maintain access to all program tools and platforms, MPI is not responsible for interruptions, outages, or malfunctions in services provided by third-party platforms such as Healthie, Stripe, or Simplero.
## **11. Non-Disparagement & Communication Ethics**
We agree to communicate any concerns directly and respectfully. Public disparagement harms trust and the integrity of this work. You agree not to make public claims or accusations without first seeking a resolution in good faith.
## **12. Notice**
All notices, requests, or communications under this Agreement must be submitted in writing. You agree to notify MPI via email at [team@mindfulpassions.co](mailto:team@mindfulpassions.co). MPI agrees to contact you at the email address provided at the time of enrollment. **You are responsible for updating MPI with any changes to your contact information within 5 business days of such change.**
## **13. Client Representations**
By entering this Agreement, you confirm that you are at least 21 years old, legally able to consent, and acting on your own behalf. You acknowledge that this coaching is not therapy and is unsuitable for crisis intervention, diagnosis, or treatment. You take full responsibility for how you use any materials, tools, or suggestions shared in this Program.
## **14. Entire Agreement and Digital Signature**
This agreement also incorporates the Terms of Use for Mindful Passions International LLC by reference. By enrolling, you acknowledge that you have read, understood, and agreed to the MPI Terms of Use available at [https://mindfulpassions.co/terms](https://mindfulpassions.co/terms). These Terms govern your use of any services, resources, or platforms provided directly by MPI in connection with this Agreement.
This agreement incorporates by reference the Terms of Use for all third-party platforms used in the delivery of services, including but not limited to:

- [Stripe](https://stripe.com/legal/ssa) (), and
- [Simplero](https://simplero.com/terms-of-service) ().
By enrolling, you acknowledge that you have reviewed and agreed to the Terms of Use of these platforms. Mindful Passions International LLC cannot provide services through those platforms if you do not consent to these terms.
This Agreement shall be interpreted in English and governed exclusively by the laws of the State of Washington, United States, without regard to conflict of law principles.
This agreement reflects our full understanding and supersedes all prior communications. This Agreement may be executed and delivered electronically and in multiple counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same agreement. Electronic signatures or acceptances via email, platform checkbox, or payment submission are fully enforceable and legally binding. Updates must be made in writing and must be agreed upon by both parties.
By enrolling and submitting payment, you affirm that you have read, understood, and agreed to these terms.
